
Nielsen is betting on independent verification, agreeing to acquire ad-quality firm DoubleVerify in an all-cash deal that pulls the ratings firm deeper into digital advertising as part of a deal it calls an extension of changes already underway at the company.
Nielsen said the combination pairs its cross-platform audience data with DoubleVerify’s media-quality verification, giving advertisers a single source to confirm that ad spend is reaching real, brand-suitable audiences.
Both companies’ boards have approved the deal, which is expected to close by the first quarter of 2027, subject to shareholder approval and regulatory clearance.
Under the agreement, DoubleVerify shareholders will receive $13.60 per share in cash, a 30% premium to the company’s 60-trading-day volume-weighted average price as of August 5. The deal values DoubleVerify at an enterprise value of approximately $2.15 billion. Nielsen projects the combined company will generate more than $4 billion in revenue, with access to a $300 billion-plus advertising market as digital budgets continue to grow.
